Welcome to PremierProcessors.com (“Premier Processors,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of the PremierProcessors.com website, including our articles, educational resources, comparison information, processor-selection tools, forms, referral services, and other features made available through the website (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms. If you do not agree with these Terms, you should not use the Service.

1. About Premier Processors

PremierProcessors.com is an independently operated website providing educational information, comparison tools, and merchant-matching and referral services related to payment processing.

Premier Processors is not a payment processor, bank, acquiring bank, card network, payment facilitator, or financial institution.

We do not directly provide merchant accounts, payment-processing services, banking services, credit, or payment-processing hardware.

Our purpose is to provide educational information and tools that may help businesses understand payment-processing options and identify providers that may be appropriate for their circumstances.

When requested by a user, we may also facilitate an introduction or referral to one or more independent payment processors, payment service providers, or related companies.

Any payment-processing agreement is entered into directly between the merchant and the applicable third-party provider.

2. Educational Information Only

Information available through Premier Processors is provided for general informational and educational purposes.

Nothing on the Service constitutes legal, accounting, tax, financial, banking, or other professional advice.

Payment-processing requirements vary depending on factors including business type, transaction volume, transaction method, industry, processing history, chargeback history, creditworthiness, location, products or services sold, and the underwriting standards of individual providers.

You should independently evaluate any provider and carefully review its pricing, agreements, policies, equipment requirements, cancellation provisions, processing terms, and other conditions before entering into an agreement.

3. Processor Selection and Recommendations

Premier Processors may provide tools, questionnaires, comparisons, articles, recommendations, or other information intended to help users evaluate payment-processing providers.

Results generated by our tools are based on information supplied by the user together with the criteria and information available to Premier Processors at the time.

A recommendation or match does not mean that:

  • a provider will approve your business;
  • your business satisfies the provider’s underwriting requirements;
  • a particular processing rate or fee will be available;
  • a specific product, integration, feature, or piece of equipment will be available;
  • a provider is necessarily the lowest-cost option available;
  • a provider is appropriate for every business; or
  • every payment-processing provider available in the marketplace has been evaluated.

Processor-selection tools are intended to help narrow the field of potential options and should not replace your own review of a provider’s actual offer and contract.

4. Pricing, Rates, Fees, and Provider Information

Payment-processing pricing and services can change frequently.

Information concerning processing rates, transaction fees, monthly fees, equipment, software, contracts, funding schedules, integrations, chargeback policies, eligibility requirements, promotions, or other provider terms may change without notice.

Although we strive to provide useful and accurate information, Premier Processors does not guarantee that information regarding a third-party provider is complete, current, or error-free.

The terms presented directly to you by a payment processor or service provider control your relationship with that provider.

Always confirm important pricing, contractual, eligibility, and service information directly with the provider before entering into an agreement.

5. Referral and Compensation Disclosure

Premier Processors may have commercial relationships with some payment processors, payment service providers, technology companies, or other businesses discussed or linked through the Service.

We may receive compensation when a user takes certain actions, which may include requesting information, following a referral link, submitting an application, becoming an approved merchant, activating an account, or otherwise establishing a relationship with a provider.

The type and amount of compensation may vary by provider and arrangement.

Commercial relationships may affect which providers are available for referral through Premier Processors.

The existence of a commercial relationship does not eliminate the user’s responsibility to independently evaluate whether a provider and its actual offer are appropriate for the user’s business.

Where appropriate, additional compensation or referral disclosures may appear near recommendations, links, forms, or other relevant content.

6. No Guarantee of Approval or Results

Premier Processors does not make underwriting decisions and cannot guarantee that a merchant will be approved by any payment processor or service provider.

Approval decisions are made independently by the applicable provider.

We also do not guarantee:

  • processing rates or fees;
  • cost savings;
  • merchant-account approval;
  • account activation;
  • funding speed;
  • equipment availability;
  • processing limits;
  • chargeback outcomes;
  • contract terms;
  • integrations;
  • customer-service performance;
  • uninterrupted processing; or
  • any particular financial or business result.

Your actual terms and results depend on the provider, your business circumstances, and the agreement you enter into with that provider.

7. Information You Provide

Certain portions of the Service may allow you to provide information about yourself or your business in order to use a processor-selection tool, request information, or obtain a referral.

You agree that information you provide will be accurate and that you have the authority to provide it.

Please do not submit payment card numbers, bank-account credentials, Social Security numbers, passwords, or other sensitive financial credentials through Premier Processors unless a specific secure feature expressly requests that information.

Premier Processors does not require cardholder data to provide its general educational or processor-matching services.

Information you submit will be handled in accordance with our Privacy Policy and any disclosures presented at the point where the information is collected.

8. Referrals and Sharing Information With Providers

If you request a processor match, referral, consultation, quote, application, or similar service, information you provide may be shared with one or more third-party providers when reasonably necessary to fulfill that request, as described in our Privacy Policy and applicable form disclosures.

Those providers are independent businesses and maintain their own privacy practices, terms, underwriting requirements, and communications policies.

Premier Processors is not responsible for the subsequent actions of an independent provider except to the extent required by applicable law.

9. Calls, Text Messages, and Electronic Communications

Submitting information through the Service does not automatically create unlimited consent to receive marketing calls or text messages.

Where consent to receive particular telephone calls, text messages, automated communications, or marketing communications is required, applicable consent language may be presented separately at the point where your information is collected.

Any such consent will be governed by the language presented with that request.

Consent to receive marketing communications is not required merely to access the general educational content available on PremierProcessors.com.

10. Third-Party Websites and Services

Premier Processors may contain links to websites, applications, offers, or services operated by third parties.

These links are provided for informational, referral, or convenience purposes.

Premier Processors does not control the operation, security, availability, privacy practices, contractual terms, or content of third-party services.

Your use of a third-party website or service is governed by that third party’s own terms, privacy policy, and agreements.

You are responsible for reviewing those terms before providing information or entering into a transaction.

11. No Agency or Provider Relationship

Unless expressly stated otherwise in a separate written agreement, Premier Processors does not have authority to enter into payment-processing agreements on behalf of a processor or merchant.

Nothing contained on the Service creates a partnership, joint venture, fiduciary relationship, employment relationship, or agency relationship between you and Premier Processors.

Likewise, the appearance or discussion of a provider on PremierProcessors.com does not by itself mean that the provider sponsors, endorses, owns, or operates Premier Processors.

12. Trademarks and Third-Party Brands

Names, logos, trademarks, service marks, product names, and other branding belonging to payment processors or other third parties remain the property of their respective owners.

References to third-party companies, brands, products, or services are used for identification, comparison, commentary, or informational purposes.

Such references do not imply ownership, sponsorship, endorsement, partnership, or affiliation unless expressly stated.

13. Premier Processors Intellectual Property

Except for third-party materials, the content and functionality of the Service—including original text, graphics, page designs, selection tools, databases, software, branding, and other materials—are owned by or licensed to Premier Processors and are protected by applicable intellectual-property laws.

You may access and use the Service for lawful personal or internal business purposes.

You may not reproduce, republish, sell, license, distribute, systematically extract, scrape, copy, modify, or commercially exploit substantial portions of the Service without prior written permission from Premier Processors, except as permitted by applicable law.

14. Acceptable Use

You agree not to:

We may also change the processors, providers, categories, questions, criteria, or other information included in our comparison and selection tools.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

PREMIER PROCESSORS MAKES NO EXPRESS OR IMPLIED WARRANTIES REGARDING THE SERVICE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AVAILABILITY, OR RESULTS.

We do not warrant that the Service will be uninterrupted or error-free or that all information provided through the Service will always be complete or current.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREMIER PROCESSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO:

  • your use or inability to use the Service;
  • your reliance on information provided through the Service;
  • your selection of a payment processor or other third party;
  • a third-party provider’s products, services, pricing, conduct, or performance;
  • merchant-account approval or denial;
  • payment-processing interruptions;
  • chargebacks, holds, reserves, funding delays, or account termination; or
  • unauthorized access to or alteration of information, except where liability cannot legally be limited.

To the maximum extent permitted by law, Premier Processors’ aggregate liability arising from or relating to the Service will not exceed the greater of amounts you paid directly to Premier Processors for the applicable Service during the preceding twelve months or $100.

Some jurisdictions do not permit certain limitations of liability, so some limitations may not apply to you.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Premier Processors, its owner, contractors, agents, and representatives from claims, liabilities, damages, losses, and reasonable costs arising from:

  • your unlawful use of the Service;
  • information you knowingly submit without authorization;
  • your violation of these Terms; or
  • your infringement of another person’s rights.

This provision does not require you to indemnify Premier Processors for conduct for which indemnification may not legally be required.

19. Privacy

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, disclose, and protect information.

If there is a conflict between these Terms and the Privacy Policy regarding the handling of personal information, the Privacy Policy will govern that issue unless applicable law requires otherwise.

20. Eligibility

The Service is intended primarily for businesses and individuals located in the United States who are evaluating payment-processing services for legitimate business purposes.

You must be at least 18 years old to submit a processor-matching or referral request through the Service.

21. Governing Law

These Terms and any dispute relating to the Service will be governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except where applicable federal law or another jurisdiction’s mandatory law controls.

Any legal proceeding that is not otherwise required to be brought in another jurisdiction will be brought in an appropriate state or federal court having jurisdiction where Premier Processors maintains its principal place of business.

22. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, our business practices, provider relationships, or applicable legal requirements.

When we revise these Terms, we will update the Effective Date at the top of this page.

When required by applicable law, we will provide additional notice of material changes.

Your continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

23. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will remain in effect.

24. No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.

25. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms or disclosures expressly presented in connection with a particular feature of the Service, constitute the agreement between you and Premier Processors concerning your use of the Service.

Separate agreements between you and a payment processor or other third-party provider are not part of these Terms.
